The Panama Corporation for Online Business Owners: When It Fits, When It Doesn't

Panama SAs get sold to online founders as a tax miracle. Sometimes the pitch is right. Here's the honest version, including the parts the pitch leaves out.

Two of Three Claims Are True

"Zero tax! USD banking! Anonymous ownership!" Two of those three claims are true. The third hasn't been true since Panama's ownership registry stopped being anonymous a decade ago.

A Panama SA can be an excellent vehicle for an online business owner, or it can be pointless overhead that produces zero tax benefit and adds compliance cost for no return. Which one you get depends almost entirely on your personal circumstances — not on Panama.

What a Panama SA Actually Delivers

Zero Panama corporate tax on foreign-source income. If your customers are outside Panama and the work isn't performed in Panama, the SA pays no Panama tax on the revenue.

USD-denominated operations. Panama uses the US dollar, so your invoicing, banking and books run in USD without conversion friction.

A sophisticated legal environment. A century of corporate law jurisprudence behind it, and an entity type banks and counterparties recognise.

Foundation-based succession. Panama's Foundation law, paired with an SA underneath, gives clean succession planning that a Delaware LLC can't match.

Reasonable speed and cost. Two to four weeks from decision to functioning entity; USD 1,500–3,000 to set up, USD 1,500–3,000 a year to maintain.

When It Fits

You personally reside somewhere with zero personal tax on foreign income (UAE, Bahamas, Monaco, Cayman), or somewhere with territorial tax that exempts foreign income for individuals (Panama itself, Costa Rica, Georgia in some circumstances), or somewhere without CFC rules that would pierce the Panama SA. In these cases the structure can genuinely take your total tax bill close to zero.

When It Doesn't

You personally reside in the US (Subpart F and GILTI attribute the SA's income to you regardless), Canada, Australia, the UK or most of the EU (CFC rules attribute passive income, and active business income sometimes escapes but only with real substance behind it), or Colombia (ECE rules work the same way). In every one of these cases, the Panama SA does not defer your personal tax on the business's income — you get the compliance cost with none of the benefit.

Two Cases, Side by Side

  • Panama SA earns revenue from clients globally
    Fits — UAE-resident founder: Yes
    Doesn't fit — Australia-resident founder: Yes

  • Panama corporate tax on foreign-source income
    Fits — UAE-resident founder: 0%
    Doesn't fit — Australia-resident founder: 0%

  • What happens to that income personally
Fits — UAE-resident founder: SA distributes as a dividend; owner pays 0% UAE personal tax on the distribution
Doesn't fit — Australia-resident founder: Australian CFC rules attribute the SA's income to the owner personally, in the year it's earned — before any dividend is even paid

  • Owner's effective personal tax rate on the business income
Fits — UAE-resident founder: Effectively zero, subject to the substance caveat below
Doesn't fit — Australia-resident founder: Up to 45% plus 2% Medicare — the owner's normal Australian personal rates, as if the income had been earned directly

  • Net effect of the Panama structure
Fits — UAE-resident founder: Genuine tax reduction
Doesn't fit — Australia-resident founder: No tax benefit, plus annual compliance cost on top

  • Bottom line
Fits — UAE-resident founder: Structure earns its keep
Doesn't fit — Australia-resident founder: Worse than simply running the business through an Australian entity

The mistake in the second case is buying the "0% Panama tax" pitch without checking your own country's CFC rules first. Panama's rate was never in question — whether it reaches your personal return was.

A caveat on the fitting case. "Effectively zero" assumes the Panama SA has genuine substance and isn't, in practice, being run day-to-day from the founder's own laptop wherever the founder happens to be. An offshore company managed and controlled from the founder's kitchen table risks being treated as tax resident wherever the founder actually is, under place-of-effective-management principles — and the UAE's own corporate tax framework expects real substance behind any structure claiming a beneficial outcome. This doesn't mean the structure fails. It means the "effectively zero" outcome has to be earned with real management activity, board decisions and documentation in Panama, not assumed as automatic.

The Banking Reality

Panama banking is thorough but slow. Expect four to eight weeks for a new corporate account with proper documentation in order.

Following Panama's exit from the FATF grey list in 2023, international bank acceptance of Panama entities is largely normal again for FATF purposes specifically.

Separately, and this matters more than most Panama content acknowledges: Panama sits on the EU's Annex I list of non-cooperative jurisdictions for tax purposes, as of the European Commission's February 2026 update — one of ten jurisdictions currently listed. This is a different list from the FATF grey list, tracks different criteria, and doesn't move in lockstep with it. If your customers, banking counterparties or business partners are EU-based, this listing can trigger enhanced due diligence and, in some cases, defensive withholding from the EU side, regardless of how clean your Panama entity's own paperwork is. Disclose it to any EU-facing counterparty before they discover it themselves.

Panama banking is also not anonymous. CRS reporting flows automatically to your country of tax residence, the same as it does from most jurisdictions with modern banking systems.

Getting the Structure Right

If you're considering Panama for an online business, book a scoping call. The first question we'll ask is where you live — because that single fact determines whether Panama helps you or just adds paperwork.

General information, not personal tax or legal advice. Whether Panama fits your situation depends heavily on your personal residence, business model, and the substance you're prepared to maintain — speak to a qualified adviser before acting.
